If we are unable to resolve a dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, rather than in court.
The arbitration shall be conducted in Orange County, Florida, or remotely via video conference. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
YOU AND WE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles.
For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in North Carolina. You waive any objection to venue or inconvenient forum.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.

We reserve the right to modify, update, or replace these Terms at any time, in our sole discretion. Changes will be effective immediately upon posting the updated Terms on the Site with a new "Last Updated" date.
